Bevan Brittan bags headline role on Scandinavian takeover

 

National law firm Bevan Brittan has advised International Marketing and Sales Group (IMSG) Limited on its £10.2m recommended share-for-share offer for Swedish corporate communications company ONE Media Holdings AB.

Bevan Brittan acted for regular client IMSG on the public company takeover of ONE Media, which is one of the leading direct marketing companies in the Nordic region.

IMSG is an acquisitive international sales and marketing company, the shares of which are traded on AIM in London and on AktieTorge in Stockholm. The company has approximately 1,100 staff across a network of 34 offices in emerging markets including the Ukraine, Turkey, India and Greece.

The latest deal - which closed earlier this year - will see some existing members of ONE Media’s Board of Directors take up executive roles at IMSG. The move will forge a company with a combined annual turnover of more than SEK1billion (£84 million).

Head of Corporate Adam Duthie and Corporate Partner Sarah Cartwright led the team for Bevan Brittan with support from Assistants Sachin Paun and Tina Robinson.

This is the latest in a succession of eye-catching mandates for Bevan Brittan’s corporate team and follows its lead role on the £3.8m Management Buyout (MBO) of leading UK educational and office equipment suppliers, The Consortium.

Bevan Brittan was supported on the deal by Swedish firm Setterwalls, which provided local advice to IMSG, while the Nordic arm of DLA Piper acted for ONE Media.
