Adam has 16 years of M&A and corporate finance experience gained in the
UK and Australia. He also has considerable first-hand
business experience in the UK leisure sector.
Adam heads the Corporate practice at Bevan Brittan.
My background
Trained with Baker & McKenzie (Sydney & London offices),
admitted to practice in NSW in 1985. After reading
post-graduate law at Oxford University, joined Ashurst in
1990, qualified as an English solicitor in 1992 and was a
Senior Associate with Ashurst from 1992-94. Joined
Guinness/Diageo plc as Senior Counsel (1994-98). Set up and
ran my own businesses in the leisure sector (1999-2004) and
provided independent legal and business consultancy services
to investors and operators in that sector. Returned to
private legal practice with Steeles LLP in 2005 before
joining Bevan Brittan LLP as a partner in September 2006.
What I do
I specialise in corporate and corporate finance law with
emphasis on mergers & acquisitions, private equity and the
Alternative Investment Market. I have had a particular
interest in and experience of the UK leisure and retail
sectors over many years and I often act for SMEs and
management buy-in and buy-out teams operating in these
sectors.
My M&A experience ranges from relatively small acquisitions
and disposals to large, complex, cross-border transactions.
My other corporate work includes advising on joint-ventures,
re-organisations and corporate governance issues.
My corporate finance practice is focused on AIM and
private-equity fundraising. This includes advising on the
various listing, prospectus and disclosure rules of the
London Stock Exchange and the Financial Services Authority
and the operation of the Financial Services and Markets Act
2000.

official list computer software company;
Advising AIM client on takeover of listed Swedish company and subsequent listing of enlarged group on Nordic OMX market;
Advising international mining company on major property re-generation joint venture;
Advising on admission listing, placings, open offers and continuing obligations (Official List and AIM clients) ;
Advising private-equity backed management team on £120m manufacturing sector acquisition;
Advising AIM-listed client on a series of major cross-border acquisitions and joint ventures in emerging markets (including Russia, Hungary, Romania, India and the Czech Republic) and in Greece and Sweden;
Advising owner on £30m sale of road haulage business to MBO team;
Advising AIM-listed client on £9m placing;
Advising management team on £25m private-equity backed leisure sector acquisition;
Advising AIM-listed client on major group re-organisation by way of scheme of arrangement;
Advising management team on £5m advertising sector MBO;
Advising on the merger of Guinness plc and Grand Met to form Diageo plc; and
Advising on re-organisation of the international joint-venture arrangements of Diageo plc.
