Our Corporate and Finance team is used to getting right to the heart of a client’s business, protecting interests at every stage of development, providing expert advice to public and private companies as well as institutional investors and finance providers.

We assist clients through a range of transactions and support them in their day-today business operations covering the 'full life' of a company from formation and funding, through to expansion and shareholder exit if required.

Because we listen and understand the issues, our advice is not only technically sound, but also commercial and practical, focused on service delivery and achieving solutions, adding value throughout.

Recent projects include:

·  Advising NESTA (National Endowment for Science, Technology and the Arts) on a review of their standard funding documentation. We were asked in particular to consider how their initial loans may be converted into equity in the borrower company and to advise on the wider issues arising from such conversion. Following a careful analysis of NESTA’s operations, we developed a new standard convertible loan agreement for NESTA, which will now be used in the next round of finance opportunities. The advice included all State Aid implications.

·  Advising Mill Group Limited/Investors in the Community on their successful bid and through to financial close for Colchester and Tendring NHS LIFT. Under the NHS LIFT initiative an initial £40 million of investment was made into new primary care facilities in North East Essex.
